Thinqhub Cloud SaaS Terms of Service
These Terms of Service (the 'Agreement') govern your use of Thinqhub Cloud's Software-as-a-Service (SaaS) solutions and related services (collectively, the 'Services'). By subscribing to or using our Services, you agree to be bound by these Terms and our Acceptable Use Policy.
For the sake of brevity, Thinqhub Cloud will be referred to as 'We', 'Us', 'Our' and 'Service Provider' in this document.
ENTIRE AGREEMENT
These SaaS Terms of Service, together with our Acceptable Use Policy and Service Level Agreement, constitute the entire agreement between You - the Customer, and Us, the Service Provider. This Agreement governs your subscription to and use of our managed SaaS solutions.
In the event that a court of competent jurisdiction declares any provision of this Agreement invalid, unenforceable, or void, the remaining provisions will remain in full force and effect.
This agreement shall be interpreted in accordance with applicable laws and shall serve to the benefit of the parties hereto and their respective successors and assigns.
SAAS SERVICES
Thinqhub Cloud provides managed Software-as-a-Service solutions, including but not limited to enterprise applications, ERP systems, and business management software. Our Services include:
Service Features
- Managed Application Hosting - We provide fully managed hosting for SaaS applications, including infrastructure, monitoring, backups, and maintenance.
- Application Access - You receive secure access to your subscribed SaaS application(s) via web interface and, where applicable, API access.
- Data Storage - Your application data is stored on EU-based infrastructure with appropriate security measures.
- Backups - Automated backup services are provided according to your selected plan. Backup retention periods vary by plan tier.
- Updates and Maintenance - We manage application updates, security patches, and system maintenance during scheduled maintenance windows.
- Support - Technical support is provided according to your plan tier and our Service Level Agreement.
Service Scope
The Service Provider is responsible for:
- Infrastructure provisioning and management
- Application deployment and configuration
- System monitoring and performance optimization
- Security patching and updates
- Backup and disaster recovery operations
- Technical support as per SLA
The Customer is responsible for:
- Application configuration and customization within provided limits
- User management and access control
- Data entry and business process configuration
- Compliance with applicable laws and regulations
- Maintaining confidentiality of access credentials
SUBSCRIPTION TERMS
Subscription Period
Services are provided on a subscription basis with billing cycles as selected during signup (monthly, quarterly, or annual). Your subscription will automatically renew at the end of each billing period unless cancelled in accordance with these Terms.
Pricing and Payment
- Subscription fees are charged in advance for each billing period.
- All fees are stated in the currency selected during signup.
- Prices may be adjusted with 30 days' notice. Existing subscriptions will continue at current pricing until the end of the current billing period.
- Payment is due according to your selected billing cycle. Failure to pay may result in service suspension or termination.
Free Trials
We may offer free trial periods for new customers. Trials are subject to the same Terms of Service and Acceptable Use Policy. At the end of the trial period, your subscription will automatically convert to a paid plan unless cancelled before the trial expires.
Plan Changes
You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle. Refunds for unused portions of higher-tier plans are not provided when downgrading.
CANCELLATION AND TERMINATION
Customer Cancellation
You may cancel your subscription at any time through your account portal or by contacting support. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Services until the end of the paid period.
Data Export
Upon cancellation, you may export your data for up to 30 days after the cancellation date. After this period, data may be permanently deleted in accordance with our data retention policies.
Service Provider Termination
We reserve the right to suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay fees when due
- You engage in fraudulent or illegal activities
- Your use of the Services threatens the security or stability of our infrastructure
Effect of Termination
Upon termination:
- Your access to the Services will be immediately revoked
- You may export your data within 30 days (as provided above)
- All fees paid are non-refundable except as required by law
- We may delete your data after the export period
INTELLECTUAL PROPERTY
Service Provider Rights
All rights, title, and interest in and to the Services, including all software, infrastructure, and related technology, remain the exclusive property of Thinqhub Cloud and our licensors.
Customer Data
You retain all rights, title, and interest in your data. You grant us a limited license to use, store, and process your data solely for the purpose of providing the Services.
Open Source Software
Some SaaS solutions may include open-source software components. Your rights to such components are governed by their respective open-source licenses, which are made available with the applicable solution.
DATA PROTECTION AND PRIVACY
Data Location
Your data is stored and processed on EU-based infrastructure by default. Data residency requirements are detailed in our Service Level Agreement.
Security
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits.
Privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of this Agreement.
Data Processing Agreement
For customers subject to GDPR or similar data protection regulations, a Data Processing Agreement (DPA) is available upon request.
WARRANTIES AND DISCLAIMERS
Service Availability
We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation. Service availability commitments are detailed in our Service Level Agreement.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
INDEMNIFICATION
You agree to indemnify and hold harmless Thinqhub Cloud, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Services with at least 30 days' notice. Continued use of the Services after such notice constitutes acceptance of the modified Terms.
